While selling a product line and its corresponding manufacturing facility, the client faced two challenges: a large volume of work for a lean legal office combined with a mandate to lower spending on outside counsel. Solution:

Before the bulk of the transaction work began, GCSolutions created a virtual data room using our HighQ system so the client could better organize and track the flood of documents associated with the deal. One of our GCSolutions attorneys assisted the client’s business team with contract reviews and information request responses, while one of our M&A Partners advised on the letter of intent.  Later, one of our GCSolutions attorneys – a lawyer with more than 20 years of legal experience – and our M&A Partner negotiated the purchase agreement.

Background:

The client was going through an acquisition that would more than double the company’s size, creating even more work for an already stretched legal department. The small team needed help with everything from contract review to pre-litigation matters. They needed a solution that was flexible but that would also provide a wealth of experience across a broad range of legal work and be ready to hit the ground running.

Solution:

GCSolutions provided the client with an attorney who previously served as the General Counsel of a national retail chain with more than 25 years of experience. Our attorney worked with the client on-site three days per week and remotely as needed on a flat fee that fit the client’s budget. Within a few weeks, the client was so pleased they increased the contract to four days per week, then five. Eventually, they hired our attorney to be their Deputy GC. Background:

With nearly 300 department stores across 16 states, the client’s legal department was already managing a tremendous amount of work when the deadline for a major project was coming due. The client needed approximately 70 commercial leases reviewed and abstracts provided for each in less than a week. The client needed help but also needed the work done thoroughly, quickly and efficiently.

Solution:

Fortunately for our client, large contract review projects are a specialty of GCSolutions. Our team immediately drew up a plan that included using Kira, a contract review system powered by artificial intelligence. Combining Kira with their own reviews, our attorneys were able to quickly identify key provisions in the lease contracts and deliver well-informed abstracts. The system’s virtual dashboard also provided the client with a robust reporting platform. We provided the Kira services at no cost.

Our team not only finished the project a day ahead of schedule but did so for a market-beating flat fee that left the General Counsel pleasantly surprised.
